Important: these Terms are for PAYE temporary workers engaged by FlexiStaffing under a contract for services. They do not create a contract of employment.
These Terms of Engagement govern the relationship between FlexiStaffing Ltd ("FlexiStaffing", "we", "us" or "our") and the individual temporary worker identified above ("you" or the "Temporary Worker"). They apply to each Assignment accepted by you unless a written Assignment Confirmation expressly states otherwise.
1. Status of FlexiStaffing and nature of engagement
1.1 FlexiStaffing operates as an employment business for the purposes of the Employment Agencies Act 1973 and the Conduct of Employment Agencies and Employment Businesses Regulations 2003 (as amended) when supplying Temporary Workers to Clients.
1.2 You are engaged by FlexiStaffing as a worker under a contract for services. These Terms do not create a contract of employment or contract of service between you and FlexiStaffing. Nothing in these Terms is intended to create a contract of employment between you and any Client.
1.3 Your worker status under a contract for services does not mean that you will be paid gross as self-employed. FlexiStaffing operates PAYE and will make income tax, National Insurance and any other deductions required or permitted by law.
1.4 During an Assignment you undertake personally to perform the work agreed with FlexiStaffing under the supervision, direction and control of the Client. You may not appoint or send a substitute.
1.5 These Terms operate as framework terms governing your relationship with FlexiStaffing and any Assignments you accept. No contract for services requiring work to be performed exists between Assignments. FlexiStaffing is not obliged to offer you any Assignment and you are not obliged to accept any Assignment offered.
1.6 Nothing in these Terms removes or limits any statutory right that applies to you as a worker or agency worker.
1.7 There is no probationary period and no collective agreement directly affecting these Terms unless FlexiStaffing tells you otherwise in writing.

3. Type of work FlexiStaffing will seek
3.1 FlexiStaffing will seek temporary work for you within industrial, warehouse, manufacturing, production, logistics and distribution environments, according to your skills, experience, availability and the roles recorded in FlexiStaffing's approved CRM/onboarding system (currently FireFish).
3.2 Roles may include warehouse operative, picker/packer, production operative, general operative, order picker, loader/unloader, stock or stores operative, cleaner, machine operative and forklift-truck roles where you hold the required competence and authorisation. FlexiStaffing does not currently seek driving assignments under these Terms unless expressly agreed otherwise in writing.
3.3 FlexiStaffing may also offer other suitable temporary roles where you have the relevant skills and agree to be considered for them.
3.4 FlexiStaffing does not guarantee that suitable work will be available.
4. Key Information Document and agreement of terms
4.1 Before these Terms are agreed, FlexiStaffing will provide you with a Key Information Document. These Terms must then be agreed before FlexiStaffing begins providing work-finding services to you.
4.2 These Terms may be agreed electronically through FlexiStaffing's approved CRM/onboarding system (currently FireFish) or another approved electronic process. Where these Terms are presented alongside an acceptance tick box, you agree to these Terms by opening or being given access to the document, reading it and then selecting the acceptance tick box. A handwritten signature is not required. FlexiStaffing will retain an electronic record of the version supplied and your acceptance.
4.3 If these Terms are changed by agreement, FlexiStaffing will provide the revised terms in writing and identify when the change takes effect.
5. Assignments and Assignment Confirmation
5.1 When FlexiStaffing offers you an Assignment, and in any event before the Assignment starts, FlexiStaffing will provide you in writing with the material details of the Assignment, including the identity of the Client; the nature of the Client's business; the Assignment start date and expected duration; job title; duties; location; days and hours of work; rate of pay and any applicable overtime or shift rates; expenses payable by or to you; any known health and safety risks and the steps taken by the Client to prevent or control those risks (or confirmation where no particular risks are known); any experience, training, qualifications or authorisations required by the Client, law or a professional body; and any relevant notice arrangements.
5.2 You must check the Assignment details before starting and promptly tell FlexiStaffing if anything appears incorrect or materially different from what you were told.
5.3 The Client may reasonably vary day-to-day methods or duties within the scope of the Assignment. A material change that introduces different risks, qualifications, equipment or PPE requirements must be referred to FlexiStaffing before you undertake the changed work.
5.4 If you accept an Assignment, a contract for services exists for the duration of that Assignment, subject to these Terms and the Assignment Confirmation.
6. Hours of work
6.1 There are no guaranteed or normal hours of work. Hours vary according to the requirements of each Assignment and may include days, nights, weekends and shift work where agreed.
6.2 You must comply with the hours notified for the Assignment and promptly tell FlexiStaffing if the Client asks you to work materially different or additional hours.
6.3 FlexiStaffing will manage its obligations under the Working Time Regulations. Unless a lawful exception applies, you should not work more than the applicable average weekly limit unless you have voluntarily signed a separate opt-out.
6.4 You must tell FlexiStaffing about other work where this is reasonably necessary to assess working-time limits, rest or health and safety.
6.5 Rest breaks and rest periods will be provided in accordance with applicable law and the arrangements at the Client site. Rest breaks and meal breaks (including lunch breaks) are unpaid and do not count as paid working time unless FlexiStaffing expressly confirms otherwise in writing for a particular Assignment.
7. Place of work
7.1 Your place of work will vary by Assignment and will be stated in the Assignment Confirmation.
7.2 You may be asked to work at another location controlled by the Client only where this is reasonable and consistent with the Assignment. Material changes must be notified to FlexiStaffing.
8. Pay
8.1 FlexiStaffing will pay you for all work properly performed on an Assignment, whether or not the Client pays FlexiStaffing.
8.2 The minimum rate of pay payable under these Terms is the applicable National Minimum Wage or National Living Wage for you from time to time. The actual hourly rate and any applicable overtime or shift rates for each Assignment will be notified to you when that Assignment is offered and may be higher. Your rate may also be adjusted where required by law, including where AWR equal-treatment rights apply.
8.3 Pay is made weekly in arrears, subject to PAYE income tax, employee National Insurance contributions and any other deductions required or permitted by law or authorised by these Terms.
8.4 FlexiStaffing may reasonably verify hours worked before payment. A missing or unsigned Client timesheet will not, by itself, entitle FlexiStaffing to withhold payment if the hours can be verified by other reasonable means.
8.5 Payslips will be provided electronically through the payroll system or another approved method.
8.6 No payment is due for periods when you are not working on Assignment except where you have a statutory or contractual entitlement, including holiday pay, Statutory Sick Pay or another statutory payment where applicable.
9. Timesheets and recording hours
9.1 You must accurately record all paid working time using the timesheet system specified by FlexiStaffing and submit it by the notified deadline. You must not record unpaid rest or meal breaks as hours worked unless FlexiStaffing has expressly confirmed that the relevant break is paid for that Assignment.
9.2 You must not knowingly submit false or inflated hours. Any discrepancy must be reported promptly.
9.3 You should obtain Client approval through FlexiStaffing's approved electronic timesheet system (currently Timesheet Portal) or the applicable approval process, but Client approval is evidence of hours worked rather than a condition allowing FlexiStaffing to avoid paying verified work.
9.4 If a timesheet is disputed or unavailable, you must cooperate with FlexiStaffing so the hours can be verified promptly.
10. Annual leave and holiday pay
10.1 FlexiStaffing's holiday year runs from 1 January to 31 December.
10.2 Where you are an irregular-hours worker for statutory holiday purposes, statutory holiday entitlement accrues at 12.07% of the hours worked in each pay period, subject to any different statutory method that becomes applicable.
10.3 Your statutory holiday entitlement is equivalent to 5.6 weeks' paid annual leave per leave year, calculated in accordance with applicable law and pro-rated where appropriate.
10.3A The statutory 5.6 weeks' entitlement includes any entitlement in respect of bank and public holidays. There is no separate or additional entitlement to paid bank holidays unless FlexiStaffing confirms otherwise in writing.
10.4 Holiday pay is paid when statutory leave is taken and is calculated in accordance with the statutory holiday-pay rules applicable to you. FlexiStaffing does not treat ordinary hourly pay as including holiday pay unless a lawful rolled-up holiday-pay arrangement is expressly introduced and separately notified to you.
10.5 To request leave, you should give written notice at least twice the length of the leave requested unless FlexiStaffing agrees shorter notice.
10.6 Leave requests are subject to reasonable approval having regard to Client requirements, available accrued entitlement and applicable law. FlexiStaffing may require leave to be taken on specified dates by giving lawful notice.
10.7 Holiday entitlement must normally be taken during the holiday year in which it accrues. You are responsible for requesting and taking your accrued holiday before the end of the holiday year on 31 December. Subject to any statutory right to carry leave forward, any accrued but untaken holiday remaining at the end of the holiday year will be lost and will not be paid in lieu. FlexiStaffing will provide you with a reasonable opportunity to take your holiday, encourage you to do so and remind you that untaken entitlement may be lost. Nothing in this clause affects any statutory right to carry leave forward, including where applicable because of sickness, family-related leave or where the law otherwise requires carry-over.
10.8 When your relationship with FlexiStaffing under these Terms is brought to an end and you will no longer remain registered for or be offered Assignments, any payment due in respect of accrued but untaken statutory holiday will be calculated and paid in accordance with applicable law. The end of an individual Assignment does not, by itself, terminate these framework Terms or require your registration with FlexiStaffing to end.
11. Sickness and Statutory Sick Pay
11.1 If you cannot attend an Assignment because of sickness or another unexpected absence, you must tell FlexiStaffing as soon as possible and normally at least two hours before the shift starts. If this is genuinely impossible, notify FlexiStaffing as soon as you reasonably can.
11.2 You must provide the information and medical evidence required by law or reasonably requested for payroll purposes.
11.3 You will receive Statutory Sick Pay where you satisfy the statutory conditions. SSP will be calculated and paid at the rate and in the manner required by current legislation.
11.4 Nothing in these Terms creates an entitlement to contractual sick pay above the statutory entitlement unless FlexiStaffing confirms otherwise in writing.
12. Other statutory leave and payments
12.1 You will receive any statutory leave or statutory payment for which you qualify under current law, subject to the applicable eligibility, notice and evidence requirements.
12.2 Unless expressly confirmed in writing, FlexiStaffing does not provide contractual paid leave or benefits above statutory entitlements.
13. Pension
13.1 FlexiStaffing will assess you for workplace pension automatic enrolment and will enrol and contribute for you where required by pensions law.
13.2 Where you are not automatically enrolled, you may have rights to opt in or join in accordance with applicable law and the pension scheme rules.
13.3 Pension information will be provided separately where applicable.
14. Training and induction
14.1 Where FlexiStaffing or the Client requires you to attend an induction in connection with an Assignment, the induction will normally be paid at the applicable rate notified to you. If a particular Client induction is to be unpaid, FlexiStaffing will tell you before you attend, subject always to applicable law and National Minimum Wage requirements.
14.2 A voluntary pre-Assignment site visit or walk-around which is solely for you to view the workplace, meet the Client or decide whether you wish to accept an Assignment is unpaid. You will not be required to perform productive work, compulsory training or Assignment duties during an unpaid site visit or walk-around.
14.3 Where FlexiStaffing tells you in advance that payment for an induction is conditional upon completing the induction, that condition will apply only to the extent permitted by law. If you choose to leave before completion, including because you decide the Assignment is not suitable for you, this does not permit FlexiStaffing to withhold payment for any time which applicable law requires to be treated as paid working time.
14.4 This does not prevent an Assignment requiring you independently to hold and maintain an existing qualification, licence or certification before you can be supplied, for example an appropriate forklift qualification. Unless FlexiStaffing expressly agrees otherwise in writing, you are responsible for obtaining and maintaining those prerequisite qualifications.
15. Agency Workers Regulations
15.1 Your rights under the AWR are not affected by these Terms.
15.2 From the first day of an Assignment you may have rights relating to access to collective facilities and information about permanent vacancies at the Client.
15.3 After completing the applicable 12-week qualifying period in the same role with the same Client, you may become entitled to equal treatment in relation to relevant basic working and employment conditions, including pay and certain working-time and holiday conditions.
15.4 You must provide FlexiStaffing with accurate information about previous assignments with the same Client or connected hirers where requested so that qualifying periods can be assessed correctly.
15.5 FlexiStaffing may obtain comparator and other relevant information from the Client and may adjust your Assignment terms where required to comply with the AWR.
16. Your obligations on Assignment
16.1 Cooperate with the Client's authorised staff and comply with reasonable directions, supervision and instructions relating to the Assignment.
16.2 Observe the Client's lawful workplace rules, policies and procedures notified to you.
16.3 Attend punctually and work the agreed hours, notifying FlexiStaffing promptly of lateness, absence or inability to continue an Assignment.
16.4 Take reasonable care of your own health and safety and that of others who may be affected by your acts or omissions.
16.5 Attend required site induction and training and use machinery, vehicles or equipment only where you are trained, competent and authorised.
16.6 Wear and use required PPE correctly and report missing, damaged or unsuitable PPE.
16.7 Immediately report accidents, injuries, near misses, unsafe conditions, unsafe machinery and serious health and safety concerns to the Client and FlexiStaffing.
16.8 Do not undertake materially different or higher-risk duties without informing FlexiStaffing where the change affects required training, qualifications, equipment, PPE or safety controls.
16.9 Do not engage in theft, violence, bullying, harassment, unlawful discrimination, intoxication at work, deliberate damage, serious insubordination or other conduct likely to endanger people or seriously damage the interests of FlexiStaffing or the Client.
16.10 Keep FlexiStaffing informed of your current telephone number, email address, home address and other information reasonably required to administer your engagement.
17. Suitability, qualifications and licences
17.1 You must provide accurate information about your skills, experience, qualifications, licences and authorisations.
17.2 You must tell FlexiStaffing immediately if any qualification, licence, right to work, medical restriction or other circumstance relevant to your suitability for an Assignment changes, expires, is suspended or becomes subject to restriction.
17.3 You must not operate a forklift truck, machinery, vehicle or other equipment requiring specific competence unless you hold the required training or authorisation and the Client has authorised you to do so.
17.4 FlexiStaffing may suspend or end an Assignment where required evidence is missing, expired or no longer satisfactory.
18. Right to work
18.1 You must maintain a lawful right to perform the work offered through FlexiStaffing and cooperate with all initial and follow-up right-to-work checks.
18.2 You must promptly tell FlexiStaffing of any change that may affect your right to work or any restriction on the type or amount of work you may perform.
18.3 FlexiStaffing will not release you for work unless the required right-to-work check has been completed and will stop supply where continuing permission cannot be established.
18.4 Right-to-work information is handled in accordance with FlexiStaffing's Recruitment Privacy Notice and Right-to-Work Procedure.
19. Health, safety and welfare
19.1 The Client is normally responsible for controlling the workplace, carrying out suitable workplace and task-specific risk assessments, providing safe systems of work, safe equipment, site-specific induction, supervision and appropriate site-specific PPE.
19.2 FlexiStaffing will obtain relevant assignment and safety information, check suitability and pass relevant information to you before work starts.
19.3 You must follow the Client's health and safety arrangements and must not knowingly place yourself or another person in serious danger.
19.4 Where you reasonably believe there is serious and imminent danger, you should stop or refuse the unsafe activity, follow the site's emergency arrangements and contact FlexiStaffing immediately.
19.5 FlexiStaffing may withdraw you from an Assignment where it reasonably believes conditions are unsafe or necessary controls, training or PPE are absent.
20. Confidentiality
20.1 During and after an Assignment you must not disclose or misuse confidential information belonging to FlexiStaffing or a Client, except where disclosure is required for the proper performance of the Assignment, authorised in writing or required by law.
20.2 Confidential information includes non-public commercial, operational, financial, customer, supplier, employee, candidate, security, technical and personal information.
20.3 Nothing in this clause prevents a protected disclosure, lawful report to a regulator, report of wrongdoing, or exercise of a statutory right.
21. Data protection
21.1 FlexiStaffing processes your personal data in accordance with its Recruitment Privacy Notice and applicable data-protection law.
21.2 You must handle any personal data or confidential records you access during an Assignment only as authorised by the Client and in accordance with applicable policies and law.
21.3 You must promptly report any loss, accidental disclosure, unauthorised access or other suspected data-security incident involving Client or FlexiStaffing information.
21.4 FlexiStaffing may provide prospective and actual Clients with personal information reasonably necessary to provide work-finding services, assess and demonstrate your suitability for an Assignment, and comply with FlexiStaffing's legal obligations. This may include your name, relevant experience, skills, training, qualifications, licences or authorisations, availability, suitability for the Assignment and the contractual basis on which you are engaged. FlexiStaffing will process and disclose your personal information in accordance with applicable data-protection law and its Recruitment Privacy Notice.
22. Client and FlexiStaffing property
22.1 You must take reasonable care of property issued to you for an Assignment, including access cards, keys, uniforms, PPE, tools, devices, documents and equipment.
22.2 On request or when an Assignment ends, you must promptly return Client and FlexiStaffing property.
22.3 You must promptly report loss or damage.
23. Deductions from pay
23.1 You authorise FlexiStaffing to make deductions from sums due to you where the deduction is required or permitted by law or expressly authorised by these Terms.
23.2 Subject to applicable law, authorised deductions may include recovery of genuine payroll overpayments; salary or expense advances; sums due under a lawful court or statutory order; and the reasonable evidenced replacement cost of Client or FlexiStaffing property that you fail to return or deliberately or negligently damage.
23.3 Where a fine, penalty or charge is incurred directly because of your conduct and FlexiStaffing is lawfully required to pay it, FlexiStaffing may seek recovery only where the amount and basis are evidenced and the deduction is lawful.
23.4 Before making a non-statutory deduction under clauses 23.2 or 23.3, FlexiStaffing will normally notify you of the amount and reason and give you a reasonable opportunity to raise a genuine dispute.
23.5 Nothing in this clause permits a deduction that would be unlawful, including any deduction prohibited by minimum-wage or wage-deduction legislation.
24. Expenses
24.1 You are responsible for ordinary travel between your home and the normal Assignment location unless the Assignment Confirmation states otherwise.
24.2 Expenses will only be reimbursed where expressly authorised in advance by FlexiStaffing or stated as reimbursable in the Assignment Confirmation, and must be supported by any receipts or other evidence reasonably required.
24.3 Any expenses payable by you or reimbursable to you for a particular Assignment will be stated in the Assignment Confirmation where applicable.
25. Ending an Assignment and notice
25.1 Unless a different notice period is stated in the Assignment Confirmation, you or FlexiStaffing may end an Assignment at any time without notice. The Client may require FlexiStaffing to withdraw you or bring its requirement for your services to an end, in which case FlexiStaffing may end the Assignment accordingly.
25.2 Where practicable, you should give FlexiStaffing as much warning as possible if you intend to leave or cannot complete an Assignment.
25.3 FlexiStaffing may end or suspend an Assignment immediately where the Client ends the requirement, there is a safety concern, you are not suitably qualified or authorised, your right to work cannot be verified, there is serious misconduct, or continued supply would be unlawful or inappropriate.
25.4 Ending an Assignment does not create an obligation on FlexiStaffing to offer another Assignment.
25.5 Any statutory rights that apply on termination are unaffected.
25.6 Either you or FlexiStaffing may end your registration and the framework relationship governed by these Terms at any time by giving written notice to the other. Unless otherwise agreed, termination of the framework relationship takes effect immediately or, where you are then working on an Assignment, when that Assignment ends. FlexiStaffing will then deal with any outstanding pay and accrued statutory holiday entitlement in accordance with applicable law.
26. Complaints, concerns and conduct issues
26.1 If you are unhappy with any aspect of an Assignment, pay, treatment or your relationship with FlexiStaffing, raise it as soon as possible with your FlexiStaffing contact.
26.2 If the matter is not resolved, it may be escalated to the Director at legal@flexistaffing.co.uk or by telephone on 0117 961 4000.
26.3 FlexiStaffing may investigate alleged misconduct, safety breaches, attendance concerns or Client complaints and may obtain information from the Client and relevant witnesses.
26.4 These arrangements are intended to provide a fair route for concerns and investigations. They do not create employee disciplinary or grievance rights where those rights do not otherwise apply by law.
27. No work-finding fees
27.1 FlexiStaffing will not charge you a fee for finding or seeking work for you.
27.2 Your access to FlexiStaffing's work-finding services will not be made conditional on purchasing additional goods or services from FlexiStaffing or a connected person.
28. No guarantee of continuous work or earnings
28.1 Temporary work depends on Client demand. There may be periods when no suitable Assignment is available.
28.2 FlexiStaffing does not guarantee any minimum number of hours, minimum earnings, continuity of Assignments or duration of any particular Assignment.
28.3 You are free to register with or obtain work through other agencies or employers, subject to complying with any working-time, safety, confidentiality and other lawful obligations applying to you.
29. Variation and assignment-specific terms
29.1 The Assignment Confirmation may supplement these Terms with Assignment-specific details such as pay, hours, location, duties, expenses and notice.
29.2 These Terms prevail over an Assignment Confirmation unless the Assignment Confirmation expressly states that a particular provision of these Terms is varied and FlexiStaffing has agreed that variation in writing.
29.3 A permanent change to these Terms will be confirmed in writing in accordance with applicable law.
30. Notices and electronic communications
30.1 FlexiStaffing may provide contractual and Assignment information by email, FlexiStaffing's approved CRM/onboarding system (currently FireFish), portal notification or another durable electronic method using the contact details you provide.
30.2 You are responsible for keeping your contact details current and checking communications relating to active Assignments.
30.3 A notice sent electronically is treated as received when it becomes available to you, unless FlexiStaffing knows it was not delivered.
31. Entire agreement and severability
31.1 These Terms, together with the relevant Assignment Confirmation and any document expressly incorporated into them, form the agreement governing each Assignment.
31.2 If any provision is found invalid or unenforceable, the remaining provisions continue in force.
31.3 No failure or delay by FlexiStaffing in enforcing a provision amounts to a waiver of that provision.
32. Governing law and jurisdiction
32.1 These Terms and each Assignment are governed by the law of England and Wales.
32.2 The courts and tribunals of England and Wales will have jurisdiction, subject to any mandatory statutory jurisdiction or right that applies.
By selecting the acceptance tick box in FlexiStaffing's approved CRM/onboarding system (currently FireFish), you confirm that you have been provided with access to this document, have read and agree to these Terms of Engagement, and have received the Key Information Document. FlexiStaffing will retain the electronic acceptance record generated by the onboarding system, including the worker record, date/time of acceptance and the document version accepted.
